ENTRA LIMITED 安策有限公司
Last updated: 9 September 2026
1. About these Terms
These Terms of Use (“Terms”) govern your access to and use of websites, platforms, content, events, publications, programmes, enquiry facilities and other activities operated, organized, promoted, supported or administered by ENTRA LIMITED 安策有限公司 (“Entra”, “we”, “us” or “our”), unless separate terms expressly apply.
These Terms may apply, where relevant, to activities, websites, platforms, brands and initiatives operated or supported by Entra from time to time, including Vietnam Operations, The Table, and other Entra projects, events, communities or business initiatives.
By accessing, using, registering for, participating in or otherwise interacting with any relevant Entra website, platform, event or activity, you acknowledge that you have read and agree to these Terms.
If you do not agree to these Terms, you should not use the relevant website, platform or activity.
Where separate written terms, registration conditions, event rules, engagement terms or other agreements apply to a specific service, event, project or relationship, those specific terms will apply together with these Terms. To the extent of any inconsistency, the more specific terms will prevail in relation to that particular matter.
2. Who We Are
These Terms are issued by:

Entra undertakes and supports business, professional, commercial, community, networking, content, event, introduction and collaboration activities.
Depending on the activity, Entra may:
-
operate websites or information platforms;
-
publish articles, reports or other materials;
-
organize or support events;
-
facilitate business or professional introductions;
-
coordinate collaborations;
-
work with third-party professional firms or service providers;
-
support community or networking initiatives; or
-
undertake other commercial or professional activities.
Unless expressly agreed otherwise in writing, participation in or use of an Entra platform, publication, event or introduction does not by itself create a professional adviser-client, fiduciary, agency, partnership, joint venture or similar relationship.
3. General Information Only
Unless expressly stated otherwise, information, articles, reports, guides, publications, commentary, presentations, event materials and other content provided by Entra (“Content”) are provided for general informational, educational, networking or business-connection purposes only.
Content does not constitute:
-
legal advice;
-
tax advice;
-
accounting advice;
-
audit advice;
-
investment advice;
-
financial advice;
-
employment advice;
-
immigration advice;
-
regulatory advice; or
-
other regulated or professional advice.
You should not rely on Content as a substitute for advice tailored to your specific circumstances.
Laws, regulations, market conditions, policies, administrative practices and commercial circumstances may change over time. Content may therefore become outdated, incomplete or unsuitable for a particular situation.
You should obtain appropriate professional advice before making any material legal, tax, investment, financial, employment, regulatory or business decision.
Your access to Content or communication with Entra does not by itself create a professional adviser-client relationship.
Any professional relationship must arise under a separate engagement or agreement with Entra or the relevant professional service provider, as applicable.
This follows the same principle in your existing template, which states that website content is general information only and that no adviser-client relationship arises merely from accessing the website or submitting an enquiry.
4. No Automatic Offer of Professional Services
Information provided by Entra concerning professional services, company establishment, market entry, legal matters, taxation, accounting, human resources, recruitment, investment, business operations or similar matters does not by itself constitute a binding offer by Entra to provide a particular service.
Any professional or regulated service will be subject to:
-
separate confirmation;
-
scope of work;
-
fees;
-
engagement terms;
-
applicable professional requirements; and
-
any other relevant conditions.
Where Entra introduces or refers you to an independent professional firm, consultant, adviser, expert or other service provider, any services ultimately provided by that third party are subject to that provider’s own terms and engagement arrangements.
Entra does not guarantee that:
-
a particular provider will accept an engagement;
-
a provider will be suitable for your requirements;
-
a particular result will be achieved; or
-
a transaction, application, project or opportunity will proceed successfully.
5. General Rules of Conduct
You must use Entra’s websites, platforms, events and other activities lawfully and responsibly.
You must not:
-
use them for any unlawful, fraudulent, abusive or misleading purpose;
-
interfere with another person’s access, participation or enjoyment;
-
impersonate another person or misrepresent your identity or affiliation;
-
submit false, misleading or fraudulent information;
-
interfere with or disrupt any website, platform, server, network or system;
-
attempt to gain unauthorized access to any system, database or account;
-

-
use Content or Entra branding in a misleading or unauthorized way;
-
infringe intellectual property, confidentiality, privacy or other rights;
-
harass, threaten or abuse other participants;
-
use an Entra event or community primarily for spam, unsolicited mass promotion or inappropriate solicitation;
-
collect attendee or member contact information in a manner inconsistent with applicable law or reasonable expectations; or
-
engage in conduct that may reasonably damage Entra, another participant, a Business Partner or the integrity of an Entra activity.
Entra may take reasonable steps to restrict access, remove content, refuse participation or exclude a person where we reasonably believe these Terms have been breached or where necessary for safety, security or proper administration.
6. Intellectual Property
Unless otherwise indicated, Entra’s websites, platforms and Content are owned by, licensed to or used with permission by Entra.
This may include:

The names Entra, ENTRA LIMITED, Vietnam Operations, The Table, associated logos and other marks may be trademarks, trade names or other protected rights belonging to Entra or another relevant rights holder.
Their appearance does not grant you permission to use them.
7. Permitted Use of Content
Subject to these Terms, you may generally:
-
view publicly available Content;
-
download or print reasonable extracts for personal, internal business, educational or non-commercial reference purposes;
-
share links to publicly available webpages; and
-
quote short extracts where proper attribution is given and the use is lawful.
Unless we give prior written permission, you must not:
-
reproduce substantial portions of Content;
-
republish Content on another website, publication, database or platform;

commercially distribute or sell Content;
-
systematically scrape or harvest Content;

Where Entra separately authorizes reproduction or use of Content, you must comply with any attribution, format, linking, territorial or other requirements specified by us.
8. Third-Party and Contributed Content
Some Content may be prepared, contributed, quoted or supplied by:

other organizations; or
-
third-party sources.
Unless expressly stated otherwise, opinions expressed by third-party authors, speakers or contributors are their own and do not necessarily represent Entra’s views.
Third-party materials may also be subject to separate intellectual property rights and restrictions.
Entra is not responsible for every statement, opinion or representation made independently by a contributor or speaker.
9. Information Submitted by You
You may provide information to Entra when, for example, you:
-

This does not mean that Entra automatically acquires ownership of materials you submit.
Personal Data will be handled in accordance with our Privacy Policy.
10. Business Enquiries and Introductions
Entra may receive enquiries and facilitate business or professional introductions.
Where appropriate, we may introduce or connect you with:
-

-
consultants;
-
experts;
-

-
service providers;
-
community participants;
-
commercial partners; or
-
other relevant contacts.
By requesting or agreeing to an introduction, you acknowledge that relevant information may be shared with the other party to the extent reasonably necessary to facilitate the introduction.
An introduction by Entra:
-
does not constitute a guarantee or endorsement;
-
does not guarantee suitability;
-
does not guarantee any outcome;
-
does not mean Entra is responsible for the acts or omissions of the other party;
-
does not automatically create an agency, partnership or joint venture;
-
does not make Entra a party to any subsequent agreement; and
-
does not mean Entra assumes professional responsibility for services provided by the third party.
You are responsible for carrying out your own assessment before entering into a business or professional relationship.
This reflects the existing template, which expressly provides that an introduction does not constitute endorsement, guarantee, responsibility for third-party work, or automatic agency or partnership.
11. Events, Networking and Community Activities
Entra may organize, co-organize, support, sponsor, promote or administer:
-
dinners;
-
networking events;
-

event-specific conditions; and
-
other reasonable requirements.
Entra may refuse or cancel registration where reasonably necessary, including where:
-

-
payment has not been completed;
-
registration information is inaccurate;
-
participation would create security, safety, legal or reputational concerns;
-
an attendee breaches these Terms or event rules; or
-
the event is cancelled or materially changed.
Unless expressly stated otherwise, attendance at an Entra event does not guarantee:
-
access to any particular participant;
-
introductions to any person;
-
business opportunities;
-
investment opportunities;
-
commercial results;
-
follow-up meetings; or
-
any particular outcome.
Participants remain responsible for their own decisions and interactions.
12. Event Changes and Cancellation

-
speakers;
-
formats;
-

-
other event arrangements,
where reasonably necessary.
We may also postpone or cancel an event because of:
-
insufficient attendance;

venue issues;
-
speaker availability;

legal or regulatory requirements;
-
force majeure;
-
operational matters; or
-
circumstances beyond our reasonable control.
Any refund rights will be governed by the specific registration terms applicable to the relevant event.
Unless expressly stated otherwise, Entra is not responsible for travel, accommodation, visa, transportation or other ancillary costs incurred by an attendee.
13. Event Conduct
Participants at Entra events are expected to behave professionally and respectfully.
Entra may ask a participant to leave, refuse admission or restrict future participation where the participant:
-
behaves abusively, offensively or disruptively;

Where applicable, Entra may provide additional notice at registration, at the venue or through event communications.
Subject to applicable law and any required consent, photographs or recordings may be used for:

internal records;
-
publications;
-

-
social media;
-

Where a participant does not wish to be prominently photographed or recorded, they should notify the event organizer where a reasonable mechanism is provided.
Entra does not guarantee that incidental appearance in wide-angle, crowd or background imagery can always be avoided.

-
accept responsibility for their activities.
Third-party services are governed by their own terms and privacy practices.
You use them at your own discretion and risk.
16. Accuracy and Availability of Information

However, Content may rely on:
-
public information;
-
third-party sources;
-
contributors;
-
government publications;
-

-
information provided by others.
We do not warrant that Content will always be:
-
complete;
-
accurate;
-
current;
-
error-free;
-
suitable for a particular purpose; or
-
continuously available.
You should independently verify information that is important to a material business, legal, tax, investment or professional decision.
Your current template adopts the same approach, expressly stating that information may come from third-party and government sources and may not always be complete, current or suitable for a particular purpose.
17. Website and Platform Availability
We may suspend, restrict, modify or discontinue a website, platform, feature or Content at any time.
Reasons may include:
-
maintenance;
-
security;
-
technical issues;
-
updates;
-
operational changes;

To the extent permitted by law, this includes:
-

-
special loss;
-
incidental loss;
-
loss of profit;
-
loss of revenue;
-
loss of business;
-
loss of opportunity;
-
loss of goodwill; and
-
loss of data.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Your existing terms contain materially the same liability structure for website use, reliance on information, third-party services and professional providers.
20. Independent Third-Party Providers
Professional firms, advisers, experts, consultants, contractors and service providers referred or introduced by Entra may be independent third parties.
Unless expressly agreed otherwise in writing, Entra does not control how such providers perform their services and does not assume responsibility for:
-
professional advice;

professional duties;
-
compliance obligations;
-
acts or omissions; or
-
disputes between you and the provider.
You should independently assess the relevant provider and review its engagement terms before proceeding.
21. No Partnership or Agency
Unless expressly agreed in writing, nothing in:
-
an introduction;
-
co-hosted event;
-
sponsorship;
-
collaboration;
-
referral;
-
shared publication;
-
joint promotion; or
-
appearance of another organization’s branding
creates a partnership, joint venture, agency, fiduciary relationship or authority for one party to bind another.
Each party remains responsible for its own acts and obligations unless otherwise expressly agreed.
22. Confidentiality
Information shared at an Entra event, meeting or introduction is not automatically confidential unless:
-
expressly identified as confidential;
-
confidentiality is reasonably apparent from the circumstances; or
-
separate confidentiality obligations apply.
You should not disclose highly confidential, privileged, proprietary or commercially sensitive information through an open event, general enquiry form or informal introduction unless appropriate arrangements are in place.
Where an event or project is expressly conducted on a confidential or non-attribution basis, participants are expected to comply with the applicable rules.
23. Privacy and Personal Data
Personal Data collected through Entra’s websites, events, communications and activities will be handled in accordance with our Privacy Policy, as updated from time to time.
The Privacy Policy explains, among other things:
-
what Personal Data may be collected;
-
how it may be used;
-
circumstances in which it may be shared;
-
marketing practices;
-
international transfers;
-
retention;
-
security; and
-
rights available to individuals.
24. Suspension or Termination of Access
Entra may suspend or terminate your access to a website, platform, event, community or activity where reasonably necessary, including where:
-
you breach these Terms;
-
you engage in unlawful conduct;
-
you create security or safety concerns;
-
continued access exposes Entra or another person to material risk;
-
required by law; or
-
the relevant service or activity is discontinued.
Termination does not affect rights or obligations that accrued before termination.
25. Changes to Entra Activities
Entra may add, remove, modify, suspend or discontinue:
-
websites;
-
platforms;
-
services;
-
publications;
-
events;
-
communities;
-
programmes;
-
features;
-
partnerships; or
-
other activities
at any time.
We are not required to continue providing any particular website, event, publication, feature or initiative indefinitely.
26. Changes to These Terms
Entra may amend these Terms from time to time to reflect:
-
legal developments;
-
regulatory requirements;
-
operational changes;
-
technical changes;
-
new activities;
-
commercial developments; or
-
changes in our business.
The latest version will identify the date on which it was last updated.
Your continued use of a relevant Entra website, platform or activity after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
If you do not agree to revised Terms, you should stop using the relevant website, platform or activity.
27. Severability
If any provision of these Terms is held by a court or competent authority to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary.
The remaining provisions will continue in full force and effect.
28. No Waiver
If Entra does not immediately enforce a provision of these Terms or exercise a right, that does not mean we have waived that provision or right.
Any waiver must be expressly given and applies only to the circumstances for which it is given.
29. Assignment
You may not assign or transfer your rights or obligations under these Terms without Entra’s prior written consent.
Entra may assign or transfer its rights or obligations in connection with:
-
a corporate restructuring;

These Terms, together with:
-
our Privacy Policy;
-
any applicable event conditions;

registration terms;
-
notices expressly incorporated by reference; and
-
any other specific terms applicable to a particular activity,
govern your general interaction with the relevant Entra activity.
Where you enter into a separate written contract with Entra or another professional service provider, that agreement may contain additional or different terms.
If there is a conflict between these Terms and a separate written agreement governing a specific engagement, the separate agreement will prevail for that engagement.
31. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them will be governed by the laws of the Hong Kong Special Administrative Region, unless applicable mandatory law requires otherwise.
Subject to any mandatory rights under applicable law, the courts of the Hong Kong Special Administrative Region will have jurisdiction in relation to disputes arising out of or in connection with these Terms.
This is consistent with the governing law and jurisdiction provision in your existing Vietnam Operations terms.
